Terms of Use
1.7 If any provision of this TOU shall be held to be illegal, invalid, or unenforceable, in whole or in part, under any enactment or rule of law, such provision or part shall to that extent be deemed not to form part of this TOU but the legality, validity or enforceability of the remainder of this TOU shall not be affected.
1.8 This TOU shall also apply to (i) Website; (ii) i-Platform and (iii)e-Resources such as ePlatforms, Apps, CDs, eBooks, POPs, e-Teaching aids, ipens and other e-Products of [Pan Lloyds Publisher Ltd] (“e-Resources”); and (ii) other learning and teaching resource books & materials (whether in printed form or digital version) and other product offered by [Pan Lloyds Publisher Ltd] (“Product”) to the extent that any term of this TOU is applicable thereto.
2.2 For avoidance of doubt, the intellectual property rights of the Materials exclusively belong to [Pan Lloyds Publisher Ltd] and for protection of the intellectual property rights of e-Resources owned by [Pan Lloyds Publisher Ltd], all users are not allowed to reproduce, republish, disassemble, decompile, reverse engineer, or any attempt to discover or gain access to the source code thereof.
3. Description of website services and others
3.1 In this website, [Pan Lloyds Publisher Ltd] provides the users with access to a variety of resources such as Materials, Software (as defined hereinbelow) and etc. which may include the download services, communication forums, information-providing, online Resources and other services offered by [Pan Lloyds Publisher Ltd] in this Website (collectively “Website Services”). The Website Services, including any subsequent updates, enhancements, modifications, new features, and/or the addition of any new web properties, are subject to this TOU. For the avoidance of doubt, the ownership (together with all intellectual property rights) of the Website and the content of the Website Services shall, in all aspects and at all time, belong to [Pan Lloyds Publisher Ltd] solely and exclusively.
3.2 Any user, who intends to use the Website Services, e-Resources, Products and i-Platform, shall be subject to this TOU and those additional terms imposed by [Pan Lloyds Publisher Ltd] (if applicable).
4. Privacy and protection of personal information
4.1 Subject to Clause 4.2 hereinbelow, each of the users hereby expressly and voluntarily grants its/his/her consent to provide [Pan Lloyds Publisher Ltd] with its/his/her personal data directly, such as when an user creates a login account with [Pan Lloyds Publisher Ltd] as directed or [Pan Lloyds Publisher Ltd], at its sole discretion, distributes a login account with login details to an user, administers its/his/her organization’s licensing account and etc. Users hereby allows and consents [Pan Lloyds Publisher Ltd] to collect and use the personal data of the users to: –
(a) operate [Pan Lloyds Publisher Ltd] and its group’s business effectively;
(b) provide users with [Pan Lloyds Publisher Ltd]’s promotional materials;
(c) handle and follow up the request or complaint lodged by the users;
(d) pass to [Pan Lloyds Publisher Ltd]’s legal representatives for seeking legal advice thereto and/or for any purpose relating to any of civil or criminal litigation(s);
(e) use the personal data for the communication with them; and
(f) to divulge them in accordance with the law or to any regulatory bodies upon their respective request(s).
4.2 The submission of personal data to [Pan Lloyds Publisher Ltd] is voluntary. A user has the option not to tender its/his/her personal data to [Pan Lloyds Publisher Ltd] by notifying [Pan Lloyds Publisher Ltd] at its email address at [Email address/communication method]. However, insufficient personal data may prevent [Pan Lloyds Publisher Ltd] from responding to and handling a request or answering an enquiry.
7.1 Neither [Pan Lloyds Publisher Ltd] nor any of its employees accept or consider unsolicited ideas, including but not limited to ideas for new advertising campaigns, promotions, Resources or technologies, processes, materials, marketing plans, product names and etc. Despite [Pan Lloyds Publisher Ltd]’s makes its stance clear that no user is requested to send [Pan Lloyds Publisher Ltd] of its/his/her ideas or materials, any user still send them to [Pan Lloyds Publisher Ltd] or its employees by any means of communication and [Pan Lloyds Publisher Ltd] makes no assurance that such ideas or materials will be treated as confidential or proprietary and no blame shall be made to [Pan Lloyds Publisher Ltd].
8.1 If any visit or use of the Website Services, services of e-Resources and i-Platform requires a user to open an account, the user must complete the registration process by providing [Pan Lloyds Publisher Ltd] with current, complete, and accurate information as prompted by the applicable registration form. The user will be given or distributed by [Pan Lloyds Publisher Ltd] a login account with login details or create a login account as directed by [Pan Lloyds Publisher Ltd]. Any user is entirely responsible for maintaining the confidentiality of its/his/her password, login details and any other non-public account information. Furthermore, any user is entirely responsible for any and all activities that occur under its/his/her account. All users shall notify [Pan Lloyds Publisher Ltd] immediately of any unauthorized or unlawful use of its/his/her account or any other breach of security. [Pan Lloyds Publisher Ltd] will not be liable for any loss that the user(s) may incur as a result of someone else using its/his/her name, login details, password, or account, either with or without its/his/her knowledge. However, user(s) shall be held fully liable for all losses incurred by [Pan Lloyds Publisher Ltd] or another party due to someone else using its/his/her user name, login ID, login details, password or account to visit the Website, i-Platform and e-Resources or use the Website Services, services of i-Platform and e-Resources. No one shall be allowed to use anyone else’s (login) account at any time without prior written permission of [Pan Lloyds Publisher Ltd].
9. No unlawful or prohibited use
9.1 As a condition of the use of the Website Services, i-Platform and e-Resources, no user is allowed to use the Website Services, services of i-Platform and e-Resources, the Materials and Software for any purpose that is unlawful or prohibited by this TOU, under any laws of Hong Kong or the laws of other proper jurisdictions of the place where the users use the Website Services, services of i-Platform and e-Resources. User(s) are not allowed to use the Website Services, i-Platform and e-Resources in any manner that could damage, disable, overburden, or impair any [Pan Lloyds Publisher Ltd]’s server (“[Pan Lloyds Publisher Ltd] Server”), or any networks connected to any [Pan Lloyds Publisher Ltd] Server, or that could interfere with any other party’s use and enjoyment of any Website Services and services of i-Platform and e-Resources. No one is allowed to make any attempt to gain unauthorized access to any Website Services, services of i-Platform and e-Resources, other accounts, computer systems, or networks connected to any [Pan Lloyds Publisher Ltd] server or to any of the Website Services, services of i-Platform and e-Resources through hacking, password mining, or any other means. Unless otherwise approved by [Pan Lloyds Publisher Ltd], no one is allowed to obtain or attempt to obtain any material or information through any means not intentionally made available through the Website Services, services of i-Platform and e-Resources.
10. Use of communication services
10.1 The Website Services and other services of [Pan Lloyds Publisher Ltd] may contain message or communication facilities with similar nature of chat forum and etc. (if any) designed to enable any user to communicate or share materials, information, opinion and etc. with others (each a “Communication Service” and collectively the “Communication Services”). All users shall agree to use the Communication Services only to post, send, and receive messages and materials that are proper and, when applicable, related to the particular Communication Service. In using the Communication Services, no user is not allowed to: –
10.2 [Pan Lloyds Publisher Ltd] has no obligation to monitor the Communication Services. However, [Pan Lloyds Publisher Ltd] reserves its right to review materials posted to the Communication Services and to remove, erase or delete any materials in its sole discretion without notice. [Pan Lloyds Publisher Ltd] reserves its right to terminate any access to any Communication Service at any time, without notice, for any reason whatsoever.
10.3 [Pan Lloyds Publisher Ltd] reserves its right at all times to disclose any information to satisfy any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post, or remove any information or materials, in whole or in part, in [Pan Lloyds Publisher Ltd] ‘s sole discretion.
10.4 [Pan Lloyds Publisher Ltd] specifically disclaims any liability with regard to the Communication Services and any actions resulting from any participation in any Communication Services.
10.5 Materials uploaded to the Communication Services may be subject to posted limitations on usage, reproduction, or dissemination. Users are responsible for adhering to such limitations if anyone downloads such materials.
11. Termination
11.1 [Pan Lloyds Publisher Ltd] shall be entitled to cease any user using the Website Services, services of i-Platform and e-Resources and prohibit any user from visiting the Website. i-Platform and e-Resources respectively without giving any prior notice if any of the following circumstances arises: –
(a) an user fails to pay any fee or payment (if applicable) to [Pan Lloyds Publisher Ltd] for using the Website Services, i-Platform and e-Resources respectively or is indebted to [Pan Lloyds Publisher Ltd] for any reason;
(b) an user becomes bankrupt;
(c) an user breaches any term of this TOU;
(d) an user breaches any agreement with [Pan Lloyds Publisher Ltd];
(e) an user terminates its/his/her (login) account to the Website Services, i-Platform or e-Resources respectively; or
(f) an user, if [Pan Lloyds Publisher Ltd] considers, does not properly use or is suspected of not properly using the Website Services, services of i-Platform or e-Resources respectively
11.2 Without prejudice to the above, [Pan Lloyds Publisher Ltd] shall, at any time and at its own discretion: –
(a) suspend or close the Website and i-Platform, and stop rendering the Website Services, services of i-Platform or e-Resources without any prior notice or tendering any reason therefor; or
(b) have full rights to stop or prohibit any user from visiting the Website. i-Platform and e-Resources and cease to provide the Website Services and services of i-Platform and e-Resources to any user without giving any reason or tendering any explanation.
11.3 Each of the Users hereby agrees to waive all claims, action, proceedings and etc. against [Pan Lloyds Publisher Ltd] for any loss and damage in case that [Pan Lloyds Publisher Ltd] exercises its rights under this Clause 11.
12. Reservation of rights
12.1 [Pan Lloyds Publisher Ltd] retains all its rights, titles, and interests in and to this Website, Software, Materials, i-Platform, e-Resources, the Website Services and services of i-Platform and e-Resources including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights thereof. [Pan Lloyds Publisher Ltd] reserves all rights not expressly granted.
12.2 All rights of [Pan Lloyds Publisher Ltd] are hereby expressly reserved.

This statement sets out the obligations and policies of Pan Lloyds Publishers Limited (shortened to ‘Pan Lloyds’), JumpStart Publishers (shortened to ‘JumpStart’), PopLearn and Pan Lloyds • JumpStart PP Parents Club (shortened to ‘PP Parents Club’) in accordance with the Personal Data (Privacy) Ordinance (shortened to ‘the Ordinance’). Pan Lloyds, JumpStart, PopLearn and PP Parents Club may conduct desk research to collect personal data. Sources may come from general information on the Internet, government publications, newspapers, magazines, information released by registered organisations and any other information which is open for public inspection.
iii. 樂思、躍思、眾課堂及PP家長會從市場推廣活動中，或各種意見調查中取得的第一手個人資料，該類調查計有客戶探訪、個人或電話訪問、小組討論等。
Pan Lloyds, JumpStart, PopLearn and PP Parents Club may conduct marketing activities to collect personal data. We may also obtain personal data from all kinds of primary research such as sales visits, personal and telephone interviews, focus group discussions, questionnaires and so on.
3. 收集個人資料的目的 / Purposes of collecting personal data
個人資料可能作以下的用途：

樂思、躍思、眾課堂及PP家長會擬使用資料當事人的資料作直接業務推廣及須為此目的取得資料當事人同意（包括資料當事人不反對之表示）。用作直接業務推廣的項目包括（但不限於）：
The use of data for direct promotion requires the consensus of the data subjects (include an indication of no objection) on that purpose. Data can be used for the following purposes (include but not limited to):
– 處理會籍申請；
Process membership application;
– 匯編有關會員之整體統計表；
Compile overall statistics of members;
– 收集資料以核實身份及記錄，並保持聯絡名單以促進會員與本公司之溝通；
Verify identity and records, and maintain a contact list to facilitate communication between members and the company;
– 處理及跟進訂單、服務要求、查詢及投訴；
Handle and follow up orders, service requirements, inquiries and complaints;
– 問卷調查；
Conduct survey researches;
– 向會員提供本公司相信會員有興趣及最新之資訊，例如推廣活動、新服務及產品及其他宣傳及市場推廣資料；

From time to time, Pan Lloyds, JumpStart, PopLearn and PP Parents Club will cooperate with relevant organizations to organize events, provide joint sponsorship, brand promotion or products and services, and share member information with relevant organizations.
5. 為直接促銷目的而使用個人資料 / The use of personal data for direct promotion
樂思、躍思、眾課堂及PP家長會收集資料當事人的姓名、流動電話號碼及住址，將會用於向資料當事人供有關本公司最新之資訊，推廣活動、新服務及產品及其他宣傳及市場推廣資料。除非樂思、躍思、眾課堂及PP家長會已取得資料當事人的同意（或不反對通知），否則樂思、躍思、眾課堂及PP家長會並不可以如此使用資料當事人的個人資料。
Pan Lloyds, JumpStart, PopLearn and PP Parents Club collect the personal data including name, telephone number, address for providing the latest information related to the company, such as promotional events, new services and products, and other promotional and marketing materials. Unless we get the consensus from the data subjects (or an indication of no objection), Pan Lloyds, JumpStart, PopLearn and PP Parents Club will not use the personal data for such purpose.

b. 樂思、躍思、眾課堂及PP家長會將根據條例規定的四十日內，對資料當事人的查詢或修改資料的要求作出回應。

Pan Lloyds, JumpStart, PopLearn and PP Parents Club may charge an administrative fee, when handling the requests.
8. 資料之傳遞 / Data transfer
一般而言，會員所提供的個人資料只限由獲樂思、躍思、眾課堂及PP家長會授權的僱員取用。本公司不會以可識別 閣下之方式向任何其他人士出售、交易或出租會員之資料，由本公司持有之個人資料會保密，惟下列情況除外：
Generally speaking, the personal information provided by members is restricted to employees authorized by the company. The company will not sell, trade or rent personal identification information to others. The personal data held by the company will be kept confidential, except in the following cases:
a. 若樂思、躍思、眾課堂及PP家長會需要利用第三者供應商及服務提供者去協助或改進本公司之資訊傳遞及服務，而 閣下又使用上述服務，則本公司須將 閣下之資料提供予提供該等服務之供應商或服務提供者。如果 閣下不欲接受有關資訊，請電郵至pl.membership@popularworld.com 通知本公司。
If the company needs to use third-party suppliers and service providers to assist or improve the company’s information delivery and services, and the customer uses the above-mentioned services, the company must provide the customer’s information to the supplier providing such services or service provider. If the customer does not want to permit the use of the relevant information, please email to pl.membership@popularworld.com to notify the company.
b. 倘若根據法律所規定，樂思、躍思、眾課堂及PP家長會則會披露或存取 閣下的賬戶資料。
The company will disclose personal data when required to do so by law, for example, in response to a court order or requests from law enforcement agencies or regulatory authorities, subject to a duty of confidentiality.
c. 樂思、躍思、眾課堂及PP家長會亦會為行政管理及其他本公司認為維持、檢修及改進本公司產品及服務所需起見，披露或存取賬戶資料。
The company will also disclose or access account information for administrative management and other purposes that the company considers necessary to maintain, overhaul and improve the company’s products and services.
9. 保障預防措施 / Security precautions
a. 樂思、躍思、眾課堂及PP家長會用加密法傳輸敏感的資料，並儘量對所有個人資料加以保密，但無法確保或保證向樂思、躍思、眾課堂及PP家長會傳輸的任何形式的資料的機密性。
Pan Lloyds, JumpStart, PopLearn and PP Parents Club will try to encrypt all personal data and use encryption for transmission of sensitive data. While striving to protect all personal information, we cannot ensure or warrant the security of any information transmitted to our company in any form.
b. 獲准查閱個人資料的人士只限於需要使用該等個人資料而且在遵守保密規定方面曾接受訓練的樂思、躍思、眾課堂及PP家長會僱員。
Access to personal data is restricted to those Pan Lloyds, JumpStart, PopLearn and PP Parents Club employees who need to use the data and have been trained to handle such data properly and to observe confidentiality.
c. 任何可查閱樂思、躍思、眾課堂及PP家長會持有的個人資料的人士均對樂思、躍思、眾課堂及PP家長會有保密責任，而樂思、躍思、眾課堂及PP家長會已承諾把個人資料保密。
Any person who has access to personal data held by Pan Lloyds, JumpStart, PopLearn and PP Parents Club is duty bound under an act of confidentiality to the company, which has in turn undertaken to keep such information confidential.
10.對兒童的保護（本條例只適用於網上媒介） / Protection of children (Applicable to online media only)
a. 18歲或以下瀏覽網頁人士在進行以下活動前，必須取得父母或合法監護人的批准：
Visitors to the website who are under the age of 18 must obtain permission from parents or legal guardians before undertaking any of the following activities:

As the above data may be made public online, it should be noted that the user should only submit a first name or initials instead of a full name, even with the permission from parents or legal guardians.
11. 豁免 / Exemption
本政策內說明的任何部分不會限制資料當事人根據條例所享有的權利，可是在某些情況下仍可受到豁免， 包括當資料當事人申請引用條例中關於查閱資料及限制資料用途時，如有關申請很可能對某些不同立場的公眾或社會利益構成損害，則無需受有關規定所管限。這些利益包括保安、防衛及國際關係；罪案的防止或偵查；評稅或收稅；新聞活動；以及公眾健康方面的利益。
Nothing stated in this Policy shall limit the rights of any data subject under the Ordinance. However, there are certain exemptions. They include exemptions from subject access and use limitation requirements of the Ordinance where their application is likely to prejudice certain competing public or social interests, such as: security, defense and international relations; prevention or detection of crime; assessment or collection of any tax or duty; news activities; and health.
